    Terms of Service

    These Terms of Service ("Terms") govern your access to and use of the websites, software, conversational interfaces, APIs, AI systems, applications, dashboards, integrations, and related services provided by Generex, Inc., a Delaware corporation ("Generex," "we," "our," or "us").

    By accessing or using the Generex platform or Services, you agree to be legally bound by these Terms. If you do not agree, do not access or use the Services.

    1. The Generex Platform

    Generex provides AI-powered business operational infrastructure designed to help businesses:

    • engage customers,
    • coordinate workflows,
    • automate operational processes,
    • manage conversational interactions,
    • generate business outcomes,
    • improve responsiveness,
    • and support intelligent business operations.

    The Services may include conversational AI systems, voice agents, scheduling systems, workflow automation, CRM integrations, operational dashboards, AI-generated recommendations, messaging systems, analytics, business intelligence features, and related AI Growth Engine technologies.

    Generex may modify, improve, suspend, or discontinue portions of the Services at any time.

    2. Eligibility & Accounts

    You must be at least 18 years old, have authority to bind your business or organization, and provide accurate account information.

    You are responsible for maintaining account confidentiality, all activity under your account, and all users operating under your organization. You must immediately notify Generex of any unauthorized access or suspected security breach.

    We reserve the right to suspend or terminate accounts that violate these Terms, create operational or security risk, misuse the Services, or negatively impact the platform or other customers.

    3. Acceptable Use

    You agree not to use the Services to:

    • violate laws or regulations,
    • infringe intellectual property rights,
    • distribute malicious software,
    • harass or abuse others,
    • interfere with platform operations,
    • scrape or harvest platform data,
    • overload systems,
    • impersonate others,
    • bypass security measures,
    • transmit unlawful or deceptive content,
    • or engage in unauthorized automated extraction.

    You may not use Generex for illegal surveillance, deceptive impersonation, spam, unlawful robocalling, unlawful recording, or prohibited AI activity.

    Generex may investigate violations and cooperate with law enforcement where appropriate.

    4. Restrictions on Competitive Use & Reverse Engineering

    Generex is proprietary AI operational infrastructure. You may NOT, directly or indirectly:

    • reverse engineer the Services,
    • copy platform logic or workflows,
    • replicate conversational architectures,
    • reproduce operational methodologies,
    • extract prompts, models, workflows, or system structures,
    • benchmark the Services for competitive purposes,
    • build competing systems based on Generex outputs or operations,
    • use the Services to train competing AI systems,
    • attempt to discover source code or proprietary logic,
    • copy business process orchestration techniques,
    • or use the platform primarily for competitive analysis or product replication.

    You may not use Generex to build, train, improve, or commercialize competing products, to develop derivative AI systems, or to replicate Generex operational intelligence frameworks.

    Any unauthorized competitive use constitutes a material breach of these Terms and may result in immediate termination, injunctive relief, damages, and other legal remedies.

    5. Intellectual Property & Platform Ownership

    The Services and all associated intellectual property are owned exclusively by Generex and its licensors, including software, architecture, conversational systems, workflows, AI orchestration systems, business methodologies, visual designs, dashboards, documentation, prompts, AI coordination logic, trademarks, service marks, logos, trade dress, and proprietary operational frameworks.

    This includes all current and future rights under copyright law, trademark law, trade secret law, patent law, and other intellectual property protections. No rights are granted except as expressly stated in these Terms.

    Generex grants you a limited, revocable, non-exclusive, non-transferable license to use the Services solely for your internal business operations.

    6. Trademark Protection

    "Generex," "SellPRO," "CustomerPRO," "CompanyPRO," "Experience Window," "AI Growth Engines," and related names, logos, slogans, and branding are proprietary trademarks or marks of Generex, Inc.

    You may not copy or imitate our branding, use confusingly similar names, imply partnership or endorsement, register related domains, or use our marks without prior written permission. Unauthorized use of Generex intellectual property may result in legal action.

    7. Customer Data & Business Ownership

    Customers retain ownership of their business data and customer relationships. However, you grant Generex a worldwide, non-exclusive license to host, process, transmit, analyze, and store data as necessary to operate and improve the Services.

    Generex may generate analytics, operational metrics, de-identified insights, and aggregated system intelligence derived from platform activity. Generex will not sell proprietary customer business information to third parties.

    8. AI Systems & Automated Decisioning

    Generex uses AI systems to generate responses, coordinate workflows, trigger actions, prioritize interactions, summarize communications, and provide operational recommendations. AI-generated outputs may contain inaccuracies, omissions, or unexpected results.

    You are solely responsible for reviewing outputs, validating decisions, supervising automated workflows, and complying with applicable laws. Generex does not guarantee revenue increases, customer conversion, legal compliance, business outcomes, or operational performance.

    9. Integrations & Third-Party Services

    The Services may integrate with third-party systems. Generex does not control third-party providers and is not responsible for outages, data loss, security incidents, API changes, or operational failures caused by third parties. Your use of third-party integrations may be governed by separate agreements.

    10. Fees, Billing & Suspension

    You agree to pay all applicable fees. We may change pricing, modify plans, suspend unpaid accounts, or restrict access for overdue balances. Failure to pay may result in service interruption, deletion of data, or account termination. Unless otherwise stated, fees are non-refundable, commitments are binding, and taxes are your responsibility.

    11. Confidentiality

    You agree not to disclose non-public Generex information, including operational methods, pricing structures, AI systems, workflows, technical architecture, or proprietary business strategies. Confidentiality obligations survive termination of these Terms.

    12. Security & Platform Integrity

    You may not test platform vulnerabilities without authorization, conduct penetration testing, interfere with security systems, or attempt unauthorized access. Generex reserves the right to monitor platform activity, investigate suspicious behavior, restrict access, and protect platform integrity.

    13. Disclaimer of Warranties

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENEREX DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

    We do not guarantee uninterrupted operation, error-free functionality, AI accuracy, uptime, or business performance.

    14. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENEREX SHALL NOT BE LIABLE FOR INDIRECT DAMAGES, LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, DATA LOSS, LOSS OF GOODWILL, OR CONSEQUENTIAL DAMAGES.

    OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT PAID TO GENEREX IN THE PRECEDING 12 MONTHS, OR $500 USD. Some jurisdictions may not allow certain limitations; in those jurisdictions, liability is limited to the maximum extent permitted by law.

    15. Indemnification

    You agree to defend, indemnify, and hold harmless Generex and its affiliates from claims arising from your use of the Services, your data, your workflows, your communications, your AI usage, or your violation of these Terms or applicable laws.

    16. Termination

    Generex may suspend or terminate access at any time for breach of these Terms, security concerns, misuse, competitive abuse, non-payment, or operational risk.

    Upon termination, licenses immediately end, access may be revoked, and certain data may be deleted. Sections relating to intellectual property, confidentiality, limitations of liability, dispute resolution, and indemnification survive termination.

    17. Governing Law

    These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in Delaware state courts or federal courts located in Delaware. You consent to exclusive jurisdiction and venue in those courts.

    18. Changes to These Terms

    We may update these Terms periodically. Updated versions become effective upon posting. Continued use of the Services constitutes acceptance of revised Terms.
